Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and WENSLink Private Limited ("Company", "we", "us", or "our"), governing your access to and use of the BizBharat Pro platform, including all associated websites, applications, APIs, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using any part of the BizBharat Pro platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, Refund Policy, and any other policies referenced herein. If you do not agree to these Terms, you must not access or use the Service. If you are accepting these Terms on behalf of a business or legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

BizBharat Pro is an AI-powered, offline-first Business Operating System designed for Indian Micro, Small, and Medium Enterprises (MSMEs). The Service provides the following core functionalities:

3. User Accounts and Registration

3.1 Account Creation

To use the Service, you must create an account by providing accurate, complete, and current information including your name, email address, phone number, and business details. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Service. The Service is intended for use by businesses registered or operating in India, though we do not restrict access based on geography.

3.3 Multi-User Access

Depending on your subscription plan, you may create additional user accounts with specific roles (Owner, Manager, Cashier) for your team members. You are responsible for ensuring that all users under your account comply with these Terms.

4. Subscription Plans and Payments

4.1 Plans

BizBharat Pro offers multiple subscription tiers: Free (₹0/month), Pro (₹499/month), Business (₹999/month), and Enterprise (₹2,499/month). Each plan includes different features and usage limits as described on our pricing page. We reserve the right to modify pricing with 30 days advance notice to existing subscribers.

4.2 Billing

Paid subscriptions are billed monthly or annually in advance. Payments are processed through our payment partner Razorpay. All prices are listed in Indian Rupees (INR) and are exclusive of applicable taxes unless otherwise stated. You are responsible for paying all applicable taxes.

4.3 Free Plan

The Free plan provides basic functionality with usage limits (50 invoices/month, 1 user). The Free plan is available indefinitely and does not require payment information to activate.

6. Intellectual Property

The BizBharat Pro platform, including all software, code, algorithms (including the AI Business Brain), user interface designs, graphics, logos, trademarks, and documentation, is the exclusive property of WENSLink Private Limited and is protected by Indian and international intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your business purposes during your active subscription period. You retain all ownership rights to your business data.

7. Data Ownership and Portability

You own all business data that you input, upload, or generate using the Service. We claim no ownership rights over your business data. You may export your data at any time in standard formats (CSV, JSON, PDF) using the platform's built-in export tools. Upon account termination, we will make your data available for export for a period of 30 days, after which it will be permanently deleted from our servers.

8. Service Availability and Limitations

We strive to provide 99.9% uptime for our cloud services. However, the Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. The offline-first architecture ensures that core functionality remains available on your device regardless of cloud service availability. We are not liable for any loss or damage resulting from service interruptions.

9. Limitation of Liability

To the maximum extent permitted by applicable law, WENSLink Private Limited and its directors, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Service. Our total aggregate liability for any claims arising from these Terms or the Service shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless WENSLink Private Limited, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

You may terminate your account at any time through your account settings or by contacting our support team. We may terminate or suspend your account immediately, without prior notice, if we determine that you have violated these Terms or engaged in any activity that may harm the Service, other users, or our reputation. Upon termination, your right to use the Service ceases immediately, and we may delete your data after the 30-day export period.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration being in India. The language of arbitration shall be English.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email or in-app notification at least 30 days before they take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
